Drive with global vision the leadership of an M&A project (including divestment), based on a holistic
project coordination (internally/externally), generally of an international nature, and in accordance
with the criteria established by the department to facilitate decision-making by senior management
(CEO, CFO, CCO) and the Board of Directors of Cellnex.

MAIN RESPONSABILITIES

✓ Lead the execution of M&A projects (acquisitions/ divestments) both nationally and
internationally, from scouting until final legal negotiation.
✓ Scouting of M&A opportunities: regular meetings / conference call to be up-to-date of the market
trends and ongoing M&A processes.
✓ Conduct the search for a suitable partner for the execution of an M&A project (where required)
✓ Global responsibility for DD coordination and specific support from different areas (legal, tax,
finance, accounting, Commercial, Operations, Strategy teams).
o Lead the analysis on the main drivers for Due Diligence (DD) on the financial side
(accounting/ tax/ financial).
o Challenge and participate in the legal, commercial and technical DD.
✓ Internal and external coordination in M&A projects (from beginning until the end)
o Coordination with all Corporate Finance departments (Finance, Tax, Accounting, Investor
Relations) ensuring coherence between them.
o Coordination with various internal teams (Strategy, Integration, Technology & Customer
Solutions, Legal, Rating, People) ensuring coherence between them.
o Coordination of Investment Banks and partners (equity/debt).
✓ Synthesize the information analysed to facilitate decision-making to senior management (CEO,
CFO, Senior Officers) and the Board of Directors of Cellnex.
✓/ Coordinate/ Teach junior team members on the following:
o Review/challenge of internal Business plan/modeling for all M&A projects
o Perform/challenge valuations exercises: (i) discounted cash flows discounts, (ii) dividends
discounts, (iii) multiples.
o Tax, accounting and financing structuring impacts.
✓ Joint preparation (with Finance/ Rating teams) in the analysis of Cellnex Telecom impacts: RLFCF,
Rating, price per share and net result.
✓ Negotiation transaction documentation agreements (SPA/ SHA / etc.) together with Legal team.
